Terms of Service
1. Agreement to these terms
By accessing or using Statibly’s websites, waitlist, applications, or related services (the “Services”), you agree to these Terms of Service (“Terms”). If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. You agree to provide accurate information and to keep any account credentials confidential.
3. Description of the Services
Statibly offers job costing for contractors: estimates, invoices, costs, crew hours, scheduling, reporting, and waitlist registration. It is a standalone application and does not import your data from other systems. The Services are provided in active development; features, availability, and pricing may change. We may add, modify, or discontinue functionality with or without notice, where permitted by law.
4. Accounts and submissions
If you create an account or submit information (for example, through a waitlist or contact form), you are responsible for the accuracy of that information and for activity under your account. Notify us promptly at support@statibly.com if you suspect unauthorized access.
5. Acceptable use
You agree not to:
- Use the Services in violation of law or third-party rights;
- Attempt to probe, scan, or test the vulnerability of our systems, or breach security or authentication measures;
- Interfere with or disrupt the Services or servers or networks connected to the Services;
- Reverse engineer, decompile, or disassemble any part of the Services except where applicable law prohibits this restriction;
- Use the Services to send spam, malware, or misleading or unlawful content.
6. Third-party services
Statibly relies on third-party providers to operate — for example hosting, database, payment processing, and email delivery — and may link to third-party websites. Your use of any third-party product reached through the Services is governed solely by your agreement with that provider. Statibly is not responsible for third-party services, their availability, or their handling of your data.
7. Intellectual property
The Services, including software, branding, and content we provide, are owned by Statibly or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, STATIBLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Statibly does not provide tax, accounting, legal, or financial advice. Outputs and summaries are for informational purposes only; you remain responsible for your business decisions and compliance obligations.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STATIBLY OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. STATIBLY’S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID STATIBLY FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100), IF YOU HAVE NOT PAID STATIBLY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES, OUR LIABILITY WILL BE LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Indemnity
You will defend, indemnify, and hold harmless Statibly and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ceases. Provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnity) will survive termination.
12. Governing law
These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. You and Statibly agree to submit to the exclusive jurisdiction of the courts located in the United States for disputes arising out of these Terms or the Services, subject to applicable law.
13. Changes
We may modify these Terms from time to time. We will post the updated Terms on this page and update the “Last updated” date. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms, where permitted by law.
14. General
These Terms constitute the entire agreement between you and Statibly regarding the Services and supersede prior agreements on this subject. If any provision is held invalid, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Statibly may assign them in connection with a merger, acquisition, or sale of assets.
